Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of Verba ("Service"), operated by CGL Łukasz Nawrocki, a sole proprietorship registered in Poland (NIP: 7792359653).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

2. Service Description

Verba is a translation management system that provides:

  • A JavaScript SDK for integrating translations into applications.
  • AI-powered automatic translation generation.
  • A web-based dashboard for managing translation keys and content.
  • API access for programmatic translation management.

3. Account Registration

To use the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain the security and confidentiality of your account credentials.
  • Promptly notify us of any unauthorized use of your account.
  • Accept responsibility for all activities that occur under your account.

You must be at least 18 years old or the age of legal majority in your jurisdiction to use the Service.

4. Subscription Plans and Payments

4.1 Plans: The Service offers free and paid subscription plans with different features and limits as described on our pricing page.

4.2 Billing: Paid subscriptions are billed in advance on a monthly or annual basis. All fees are quoted in USD and are non-refundable.

4.3 Price Changes: We reserve the right to modify our prices. Any price changes will be communicated to you at least 30 days before taking effect and will apply to the next billing cycle.

4.4 Cancellation: You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to paid features until the end of your current billing period.

4.5 No Refunds: All sales are final. No refunds will be issued under any circumstances. You may cancel your subscription at any time, and you will retain access to paid features until the end of your current billing period, but no partial or full refunds will be provided for any unused time.

5. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any applicable laws.
  • Attempt to gain unauthorized access to the Service or its related systems.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Upload or transmit viruses, malware, or other malicious code.
  • Use the Service to store or transmit content that is defamatory, obscene, or infringes on intellectual property rights.
  • Resell, sublicense, or redistribute the Service without our written consent.
  • Use automated means to access the Service in a manner that exceeds reasonable use or abuses rate limits.

6. Intellectual Property

6.1 Our Rights: The Service, including its original content, features, and functionality, is owned by CGL Łukasz Nawrocki and is protected by copyright, trademark, and other intellectual property laws.

6.2 Your Content: You retain ownership of all translation content and data you create or upload to the Service ("Your Content"). By using the Service, you grant us a limited license to store, process, and display Your Content solely to provide the Service to you.

6.3 SDK License: The Verba SDK is provided under the MIT License. You may use it in accordance with that license.

7. AI-Generated Translations

The Service uses third-party AI services to generate translations. You acknowledge that:

  • AI-generated translations may not be perfectly accurate and should be reviewed before use in production.
  • Translation content is processed by third-party AI providers subject to their terms and privacy policies.
  • You are responsible for reviewing and approving AI-generated translations for your use case.

8. Data Protection

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. We process data in accordance with the General Data Protection Regulation (GDPR) and applicable Polish data protection laws.

9. Service Availability and Modifications

9.1 Availability: We strive to maintain high availability but do not guarantee uninterrupted access to the Service. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

9.2 Modifications: We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time. For material changes that negatively affect your use, we will provide reasonable notice.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

This disclaimer does not affect your statutory rights as a consumer under applicable EU law.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CGL ŁUKASZ NAWROCKI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

These limitations do not apply to liability that cannot be excluded under applicable law, including liability for fraud or fraudulent misrepresentation.

12. Indemnification

You agree to indemnify and hold harmless CGL Łukasz Nawrocki from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion.

Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, and limitations of liability.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Poland, without regard to conflict of law principles.

For EU consumers: You may also have rights under the consumer protection laws of your country of residence, and you may bring legal proceedings in the courts of that country. The European Commission provides an online dispute resolution platform at https://ec.europa.eu/consumers/odr.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
